1 INTRODUCTION
1.1 Purpose
The purpose of these Automatic Renewal Terms is to explain how recurring Membership subscriptions continue following the completion of the applicable Membership Term.
These Terms are intended to provide transparency regarding the renewal process while helping Members avoid unintended interruptions to their Membership Benefits.
1.2 Relationship with the Membership Terms
These Automatic Renewal Terms form part of the overall Membership Agreement.
They should always be read together with the Membership Terms & Conditions.
Capitalised words used within these Terms have the meanings given to them within the Membership Terms & Conditions unless expressly defined otherwise.
1.3 Membership Programmes
These Terms apply to all recurring consumer Membership programmes operated by Carvado unless another written agreement expressly provides otherwise.
At the date of publication these include the Membership programmes currently offered by Carvado together with any future recurring Membership programme introduced by Carvado.
2 SCOPE
2.1 Application
These Terms apply whenever a Member purchases a recurring Membership subscription.
2.2 Payment Methods
These Terms apply regardless of whether recurring Membership Fees are collected by:
- Direct Debit;
- debit card;
- credit card;
- another recurring payment method approved by Carvado.
2.3 Future Payment Methods
Carvado may introduce additional payment methods from time to time.
The existence of additional payment methods does not alter the operation of these Automatic Renewal Terms.
3 AUTOMATIC RENEWAL
3.1 Continuous Membership
Drivers Club and other recurring Membership programmes are designed to provide uninterrupted access to Membership Benefits.
Accordingly, Membership normally renews automatically following completion of the applicable Membership Term unless cancelled in accordance with these Terms.
3.2 Renewal Purpose
Automatic Renewal exists to ensure Members continue receiving uninterrupted access to Membership Benefits without needing to manually purchase a new Membership each year.
Automatic Renewal helps avoid accidental lapses in Membership, interruption of Member Benefits and unnecessary administrative delays.
3.3 Renewal Date
Renewal will normally occur on or shortly after the scheduled renewal date applicable to the Member's subscription.
Collection dates may vary slightly depending upon banking processes, weekends, public holidays, payment provider processing times or other operational factors.
3.4 Membership Continuity
Where renewal is successful, Membership continues seamlessly into the next Membership Period.
The Member retains uninterrupted access to applicable Membership Benefits unless otherwise stated.
4 MINIMUM MEMBERSHIP TERM
4.1 Minimum Commitment
Unless expressly stated otherwise during purchase, Membership is purchased subject to a minimum contractual commitment of twelve (12) consecutive months.
4.2 Effect of the Minimum Term
The minimum Membership Term forms part of the Membership Agreement accepted during checkout.
Members remain responsible for the applicable Membership Fees throughout that minimum contractual period.
4.3 Cancellation During the Minimum Term
Members may notify Carvado at any time that they do not wish their Membership to renew.
Where such notification is received before completion of the minimum Membership Term, Membership will normally continue until completion of that minimum term before ending.
This prevents automatic renewal beyond the agreed contractual period whilst allowing the Member to continue receiving Membership Benefits during the remainder of their Membership.
4.4 Early Termination
Nothing within these Terms prevents Carvado from agreeing to an earlier termination where Carvado considers this appropriate.
Such decisions remain entirely at Carvado's discretion unless otherwise required by applicable law.
5 RENEWAL NOTIFICATIONS
5.1 Renewal Reminders
Where reasonably appropriate, Carvado may remind Members before a recurring renewal payment is due.
Reminders may be provided by:
- email;
- Member Dashboard notification;
- account notification;
- other electronic communication methods.
5.2 Reminder Delivery
Members remain responsible for ensuring their contact information remains accurate.
Failure to receive a reminder due to outdated contact information does not invalidate an otherwise valid recurring renewal.
5.3 Reminder Content
Renewal reminders may include:
- Membership Tier;
- renewal date;
- payment method;
- Membership Fee;
- instructions regarding cancellation before renewal;
- links to updated Membership documentation where appropriate.
6 PAYMENT COLLECTION
6.1 Authorisation
By purchasing a recurring Membership, the Member authorises Carvado, or its authorised payment provider, to collect recurring Membership Fees using the payment method selected during checkout.
This authority continues until the Membership ends in accordance with the Membership Agreement.
6.2 Payment Providers
Recurring payments may be processed through one or more authorised third-party payment providers.
Carvado reserves the right to replace, change or add payment providers where reasonably necessary for operational, commercial or regulatory reasons.
Changing payment providers does not alter the Member's contractual obligation to pay the applicable Membership Fees.
6.3 Collection Dates
Recurring payments will normally be collected on or around the scheduled renewal date.
Collection dates may vary slightly due to:
- banking processes;
- weekends;
- public holidays;
- payment provider processing;
- operational requirements.
Such variations do not affect the validity of the Membership Agreement.
6.4 Confirmation of Renewal
Following successful payment collection, Carvado may provide confirmation that Membership has renewed.
Confirmation may be provided through:
- email;
- the Member Dashboard;
- payment receipts;
- account notifications;
- another reasonable communication method.
7 FAILED RENEWAL PAYMENTS
7.1 Initial Failure
Where a renewal payment cannot be collected, Membership will not automatically terminate.
Carvado will normally begin its Recovery Process in an attempt to recover the outstanding Membership Fee.
7.2 Retry Attempts
Where appropriate, Carvado will normally make further attempts to collect the outstanding payment.
The number, timing and method of retry attempts may vary depending upon:
- the payment method used;
- payment provider procedures;
- banking rules;
- operational requirements.
7.3 Member Notification
Where reasonably practicable, Carvado will notify the Member that payment collection has been unsuccessful.
Notifications may request:
- updated payment details;
- confirmation of banking information;
- another payment method;
- contact with the Membership Team.
7.4 Membership During Recovery
During the Recovery Process, Carvado may continue to provide some or all Membership Benefits whilst payment recovery is underway.
Alternatively, certain Membership Benefits may be temporarily restricted where operationally appropriate.
The approach adopted will depend upon the circumstances of each case.
7.5 Continued Failure
Where payment remains outstanding after reasonable recovery attempts, Carvado may:
- suspend Membership;
- terminate Membership;
- recover outstanding contractual sums through lawful means;
- refuse future Membership applications where appropriate.
Any action taken will be proportionate to the circumstances.
8 RENEWAL CHANGES
8.1 Membership Fee Changes
Carvado may amend Membership Fees before future renewal periods.
Where required by law, Members will receive reasonable notice before revised fees take effect.
8.2 Membership Benefit Changes
Membership Benefits may evolve between renewal periods.
Changes may include:
- additional benefits;
- improved Digital Content;
- improved Dashboard functionality;
- revised operational processes;
- new partner offers;
- enhanced support services.
Where changes materially affect contractual rights, Carvado will act fairly and in accordance with applicable consumer legislation.
8.3 Membership Tier Changes
Members may choose to upgrade or downgrade their Membership before renewal where such options are made available.
The effective date of any Membership Tier change will be confirmed during the change process.
9 MEMBER RESPONSIBILITIES
9.1 Payment Details
Members remain responsible for ensuring that valid payment details are maintained throughout the Membership.
9.2 Contact Information
Members should ensure that their email address and other contact details remain accurate so that renewal reminders and important Membership communications can be delivered successfully.
9.3 Reviewing Renewal Information
Members should review renewal notifications carefully and notify Carvado promptly if they believe any information is incorrect.
9.4 Cancellation Requests
Members who do not wish their Membership to renew should submit their cancellation request before the next renewal payment becomes due.
Submitting a cancellation request after renewal payment has already been successfully collected will not automatically reverse that renewal.
Any statutory rights remain unaffected.
10 CARVADO RESPONSIBILITIES
10.1 Transparency
Carvado aims to operate recurring Membership renewals transparently.
Members should be able to understand:
- when renewals occur;
- how payments are collected;
- how renewal can be cancelled;
- what happens if payment fails.
10.2 Security
Carvado takes reasonable measures to ensure recurring payment information is processed securely using authorised payment providers.
10.3 Communication
Where reasonably practicable, Carvado will communicate significant changes affecting recurring Memberships before those changes take effect.
10.4 Continuous Improvement
Carvado may improve renewal processes from time to time where those improvements enhance Member experience, operational efficiency or security.
11 CANCELLATION BEFORE RENEWAL
11.1 Right to Cancel Future Renewal
Members may notify Carvado that they do not wish their Membership to renew following completion of the applicable Membership Term.
11.2 Effect of Cancellation
Where cancellation has been correctly requested before renewal becomes due:
- recurring renewal payments will not normally be collected;
- Membership will continue until the end of the current Membership Term;
- Membership will then expire.
11.3 Membership Benefits
Unless otherwise stated, Members continue receiving Membership Benefits throughout the remainder of the Membership Term following a cancellation request.
11.4 Confirmation
Where reasonably practicable, Carvado will confirm receipt of a cancellation request.
Members should retain that confirmation for their own records.
12 SUSPENSION DURING RENEWAL
12.1 Payment Recovery
Where renewal payments remain outstanding, Carvado may suspend some or all Membership Benefits whilst payment recovery is undertaken.
12.2 Reinstatement
Where outstanding payments are successfully recovered, Membership may be reinstated together with any applicable Membership Benefits.
12.3 No Automatic Termination
Suspension during payment recovery does not automatically terminate the Membership Agreement.
13 MEMBERSHIP CONTINUITY
13.1 Continuous Access
Successful renewal ensures continuous access to Membership Benefits without interruption.
13.2 Membership History
Continuous Membership may preserve Membership history and certain administrative records within the Member Dashboard.
13.3 Operational Improvements
Carvado may improve Membership systems over time whilst maintaining continuity of active Memberships wherever reasonably practicable.
14 FUTURE CHANGES
14.1 Review
These Automatic Renewal Terms may be reviewed periodically.
14.2 Updates
Where updates are required due to legislation, regulation, operational improvements or changes to Membership services, revised Terms may be published.
14.3 Notification
Where required by law, Members will receive appropriate notice before material changes affecting contractual rights take effect.
15 GOVERNING LAW
15.1 These Automatic Renewal Terms shall be governed by the laws of England and Wales.
15.2 Mandatory consumer rights available under applicable law remain unaffected.
